TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern the use of services provided by Prime Mobile Apps (“we”, “us”, “our”), a company registered in the United States.

1. Services

Prime Mobile Apps provides mobile application development services (“Services”) as agreed upon in a signed proposal or contract (“Agreement”). We agree to design, develop, and deliver mobile applications according to the specifications outlined in the Agreement.

2. Ownership

All software developed by Prime Mobile Apps under this Agreement shall be considered “work for hire” and upon full payment by the client, shall become the exclusive property of the client. Prime Mobile Apps retains no rights, title, or interest in the software except as necessary to perform the Services.

3. Independent Contractor

Prime Mobile Apps operates as an independent contractor, not as an employee, partner, or agent of the client. Nothing in this Agreement shall create a joint venture, partnership, or agency relationship between the parties.

4. Limitation of Liability

Prime Mobile Apps disclaims any liability for indirect, incidental, consequential, or punitive damages arising out of or in connection with the Services provided. Our liability shall be limited to the fees paid for the specific Services that gave rise to the claim.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the term of this Agreement. Confidential information shall not be disclosed to third parties without prior written consent.

6. Changes to Services

The client may request changes to the Services outlined in the Agreement. Prime Mobile Apps will make reasonable efforts to accommodate such changes, which may result in adjustments to project timelines and costs.

7. Termination

Either party may terminate this Agreement upon written notice if the other party breaches any material term and fails to cure such breach within thirty (30) days of receiving written notice thereof. Sections related to ownership, confidentiality, and limitation of liability shall survive termination.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

9. Entire Agreement

These Terms, together with any signed Agreement, constitute the entire understanding between Prime Mobile Apps and the client regarding the Services and supersede any prior discussions or agreements, whether written or oral.

10. Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved through mediation administered by the American Arbitration Association, in accordance with its Commercial Mediation Rules.

11. Modifications

Prime Mobile Apps reserves the right to modify these Terms at any time. Changes will become effective upon posting on our website or notifying the client directly. Continued use of our Services after such changes constitutes acceptance of the modified Terms.
